These Terms of Use (“Terms”) are a binding agreement between you and Optimal Power Solutions, LLC (“OPS,” “we,” “us,” or “our”) and govern your access to and use of our website and client portal (together, the “Services”). By accessing the Services, requesting service, or using the portal, you agree to these Terms. If you do not agree, do not use the Services.

1. Who We Are

Optimal Power Solutions, LLC is a Florida Certified Electrical Contractor providing residential and commercial electrical services in Jacksonville & Northeast Florida. The specific scope, price, and terms of any work we perform are governed by a separate written estimate and service agreement that you approve — not by this website.

2. The Website Is Informational

Content on the Services is provided for general informational purposes only. It is not a quote, a contract, professional or electrical advice, or a guarantee of availability, pricing, or results. We strive to keep all content accurate and not misleading. Nothing on the Services creates a contractual obligation until you and OPS enter into a signed written agreement.

3. Accounts & Portal Use

Client portal access is provided on an invitation basis. You are responsible for keeping your login credentials confidential and for all activity under your account, and you agree to notify us promptly of any unauthorized use. You agree to provide accurate information and to use the Services only for lawful purposes. You may not attempt to gain unauthorized access to the Services, interfere with their operation, access another user's data, upload malicious code, or use the Services to violate any law or the rights of others. We may suspend or terminate access that we reasonably believe violates these Terms or threatens the security of the Services.

4. Service Requests, Estimates & Contracts

Submitting a service request does not create a contract and does not obligate either party. We may follow up to gather details, schedule a consultation, and prepare an estimate. Estimates are valid only as stated and may change based on site conditions, inspection, code requirements, materials, or scope changes discovered during the work. All work is performed under a written service agreement between you and OPS; that agreement controls if it conflicts with anything on the Services.

5. Electronic Communications & Signatures

You consent to receive communications, agreements, disclosures, and notices from us electronically, and you agree that electronic signatures, contracts, and records have the same legal effect as handwritten signatures and paper records under the federal ESIGN Act (15 U.S.C. § 7001) and the Florida Uniform Electronic Transaction Act (Fla. Stat. § 668.50). When you electronically sign a document through the portal, we record evidence of that signature — including your name, email, the date and time, the document version, and technical information such as your IP address and browser — as described in our Privacy Policy. You may request a paper copy of any electronic record by contacting us, and you may withdraw consent to electronic records on a going-forward basis, which may prevent us from providing certain Services.

6. Pricing & Payment

Pricing, deposits, progress payments, and payment schedules are set out in your approved estimate and service agreement. Unless your agreement states otherwise, invoices are due on the terms specified in that agreement, and past-due amounts may be subject to the late charge disclosed in your agreement and to collection or construction-lien remedies available under Florida law (including Chapter 713, Florida Statutes). Payments may be processed by third-party payment processors subject to their own terms.

7. Warranties & Disclaimer

Workmanship on the electrical work we perform is covered by a limited one-year workmanship warranty, measured from substantial completion and subject to the terms, exclusions, and limitations set out in your written service agreement (for example, manufacturer-warranted equipment, misuse, alterations or work by others after completion, acts outside our control, and normal wear are excluded). Manufacturer warranties for materials and equipment are provided by the manufacturer.

Except for that written workmanship warranty and any warranty that cannot be disclaimed under applicable law, the Services and all website content are provided “as is” and “as available,” and we disclaim all other warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure.

8. Limitation of Liability

To the fullest extent permitted by law, Optimal Power Solutions, LLC and its owners, employees, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of the Services, even if advised of the possibility of such damages. Our total aggregate liability arising out of or relating to the Services will not exceed the amount you paid to us, if any, for the specific work giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law, and liability arising from the physical electrical work we perform is governed by your service agreement and applicable law, not by this section.

9. Indemnification

You agree to indemnify and hold harmless Optimal Power Solutions, LLC and its owners, employees, and contractors from any claims, damages, liabilities, and reasonable expenses (including attorneys' fees) arising out of your misuse of the Services, your violation of these Terms, or your violation of any law or the rights of a third party.

10. Intellectual Property

The Services and all of their content — including text, graphics, logos, the Optimal Power Solutions name and marks, photographs, designs, software, and their selection and arrangement — are owned by Optimal Power Solutions, LLC or its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for their intended purpose. You may not copy, reproduce, republish, distribute, modify, create derivative works from, frame, scrape, or commercially exploit any part of the Services, or use our names, logos, or marks, without our prior written permission. Photographs of completed projects remain our property; we use them consistent with our Privacy Policy.

11. Copyright & Infringement Claims

We respect the intellectual property rights of others and expect users to do the same. If you believe content on the Services infringes your copyright or other intellectual property right, please notify us at evgeny@optimalpower-solutions.com with: (a) a description of the work you claim is infringed; (b) the location of the material on the Services; (c) your contact information; (d) a statement that you have a good-faith belief the use is not authorized; and (e) a statement, under penalty of perjury, that your notice is accurate and that you are the rights holder or authorized to act on their behalf. We will review and respond to valid notices and may remove material we determine to be infringing.

12. Third-Party Links & Services

The Services may link to or rely on third-party websites and services (such as hosting, payment, and e-signature providers). We are not responsible for the content, policies, or practices of third parties, and your use of their services is governed by their terms.

13. Governing Law & Venue

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. You agree that the exclusive venue for any dispute arising out of or relating to these Terms or the Services will be the state and federal courts located in St. Johns County, Florida, and you consent to their jurisdiction — to the extent not otherwise governed by a dispute-resolution provision in your written service agreement.

14. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the “Last updated” date above. Your continued use of the Services after a change constitutes acceptance of the updated Terms.
